Terms of Service

These Terms, together with our Privacy Policy and the eConnection.ai Service Agreement, become a binding commitment between you (or the business entity you represent) and WUV Inc. (doing business as eConnection.ai — “eConnection,” “we,” or “us”). By using the Platform you represent that you are of legal age to form a binding contract, that the information you provide is true and complete, and that you are authorized to bind any business entity you name as the user. We may update these Terms at any time; changes are effective immediately when posted, and your continued use constitutes acceptance.

This document contains a mandatory arbitration clause and a class-action waiver. Please review the Dispute Resolution section before using the Platform.

You must be at least 18 years old to use the Platform. The Platform is intended for business use, or use in connection with a trade, craft, or profession. As the individual who accepts these Terms, you are the account owner unless you act on behalf of a business entity, in which case that entity is the owner and you must have the authority to bind it. You must provide complete, current, and accurate information when registering. In any ownership dispute, we may consider payment records, account-creation records, and verifiable business documentation, and our good-faith determination will be final.

eConnection.ai provides the Platform for your business use without any promise of exclusivity. The Platform includes our patent-pending artificial-intelligence technology — the SIM intelligence engine and a suite of relationship-building AI agents (voice, sales, scheduling, and reputation) — together with account provisioning, campaign tools, communications, and integrations designed to help you turn first-time contacts into lasting, remembered relationships.

To keep the Platform safe and lawful, the following rules apply to AI usage:

When you activate an account, we provision a business-branded account configured to your setup tier. You are responsible for the use of every account under your agreement and for the actions of your employees, agents, and customers who access the Platform through you. You must keep credentials secure and are responsible for all activity under your account. You are solely responsible for your relationship with your customers; eConnection is not a party to those relationships and is not liable for disputes between you and your customers.

You agree not to use the Platform to:

Subject to applicable law, we may suspend or terminate access for violations, suspicious activity, or legal risk, and we may request that you suspend a sub-account engaging in prohibited conduct.

You retain ownership of the content and data you provide to the Platform. You grant eConnection and its service providers a limited, non-exclusive license to host, store, transmit, and process that content solely to provide and improve the services, including operating the AI agents. You represent that you have all rights needed to submit your content and to authorize our processing of it. We may remove content we believe violates these Terms or applicable law.

Fees for activation, setup, ongoing services, add-ons, and third-party ad spend are set out on our Pricing page and your Service Agreement. Setup and recurring fees are billed in advance and are non-refundable except where required by law. Service credits (e.g., included communications credit) do not roll over and have no cash value. Overages and third-party ad spend are billed as incurred. A2P phone, registered-sender, and similar carrier or platform fees passed through to you are non-refundable. Late or disputed amounts may result in suspension of service. You authorize us to charge your payment method for all fees and overages under your agreement.

Each party agrees to keep the other’s confidential information — including business data, pricing, account configuration, and details of our patent-pending AI technology — confidential and to use it only to perform under these Terms. The receiving party will protect it with at least reasonable care and not disclose it to third parties except as necessary to provide or receive the services, subject to confidentiality obligations no less protective than these. These obligations survive termination.

The Platform, the SIM intelligence engine, our AI agents and workflows, the “eConnection” and “eConnection.ai” marks, and all related software, designs, and documentation are owned by or licensed to A.M. Technologies Corporation. Our AI methods and systems are patent-pending. Except for the limited license to use the Platform granted under these Terms, no intellectual-property rights are transferred to you, and nothing in these Terms grants you any license to the underlying AI technology, models, or algorithms beyond the right to use the Platform as intended. You may not remove proprietary notices or labels, or use our marks without prior written consent.

The Platform and services are provided “as is” and “as available,” with all faults. To the fullest extent permitted by law, eConnection disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Platform will be uninterrupted, error-free, or that AI outputs will be accurate or complete. You are responsible for reviewing AI outputs and for your own compliance with applicable laws.

To the fullest extent permitted by law, in no event will eConnection, its affiliates, or their officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost data, or business interruption, arising out of or related to the Platform or these Terms — whether in contract, tort, or any other theory. Our total aggregate liability for any claim is limited to the amount you paid us for the services giving rise to the claim in the twelve months preceding it.

You agree to defend, indemnify, and hold eConnection harmless from any claims, liabilities, damages, and reasonable attorneys’ fees arising from your content, your use of the Platform (including AI features and automated communications), your customer relationships, or your breach of these Terms.

These Terms run from acceptance until terminated. You may stop using the Platform at any time. We may suspend or terminate access for breach, non-payment, risk, or legal compliance. Upon termination, your right to use the Platform ends; you remain responsible for fees incurred and for the duties that survive (including confidentiality, IP, disclaimers, and limitation of liability).

These Terms are governed by the laws of the State of North Carolina, USA, without regard to conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Platform will be resolved by binding arbitration administered in North Carolina, on an individual basis — you waive any right to participate in a class action, class arbitration, or representative proceeding. Before arbitration, you agree to attempt good-faith resolution by contacting us at the email below. Either party may seek injunctive relief in a court of competent jurisdiction to protect intellectual property or confidential information.

We may modify these Terms at any time. Material changes take effect when posted, and your continued use after posting constitutes acceptance. We will notify you of significant changes by email or in-app notice where appropriate.
